Sibyl Labs, LLC

Terms of Service

Last updated: October 14, 2026 Version 2026-10-14

These terms are a contract between you and Sibyl Labs, LLC. They cover Sibyl Memory and the account service behind it. They are written in plain English on purpose. If anything here is unclear, write to us before you buy.

Who we are and what these terms cover

Sibyl Labs, LLC ("Sibyl Labs", "we", "us") is a Delaware limited liability company operating from California, United States. Postal address: 8 The Green, Suite B, Dover, DE 19901.

These terms cover sibyllabs.org, account.sibyllabs.org, api.sibyllabs.org, docs.sibyllabs.org, the Sibyl Memory plugin and command line tool, and every plan, free or paid (together, the "Service").

By creating an account, installing the plugin against an account, or buying a plan, you agree to these terms. If you do not agree, do not use the Service.

How we handle personal data is described in the Privacy Policy. The part that matters most is in section 4 below: your memory content stays on your computer.

Who can use the Service

You must be at least 13 years old to use the Service. If you are between 13 and 17, you may use the Service, but buying Pro (by card or in USDC), staking $SIBYL and any other on-chain feature require the permission of a parent or legal guardian who agrees to these terms on your behalf.

If you use the Service for a company or another organization, you confirm that you are allowed to accept these terms for it.

Your account

An account is required to use the plugin on every plan, including Free.

You can sign in with:

  • your email address and a one time code or sign-in link, or
  • a connected crypto wallet, which proves control by signing a short message. Signing sends no transaction. We never take custody of your funds or your keys.

Every account has an email address. Security notices about sign-ins and changes to your account are always sent and cannot be turned off.

You are responsible for keeping access to your email and your wallet keys. We cannot recover a wallet for you.

An account is for one person or one organization. Sharing an account, or reselling access to it, is not permitted. The number of computers that can be signed in is counted per account (section 5).

Tell us promptly at [email protected] if you believe someone else has used your account.

Where your memory lives

Your memory content is stored in a local database on your own computer. Saving and recalling memory happen on that computer. We do not receive your memory content, store it, read it or back it up.

The Service handles three things: your account, the license to use the plugin, and the check that tells the plugin which plan your account is on. The plugin's network calls are limited to:

  • signing a computer in to your account, and renewing that sign-in,
  • a periodic plan check (about once a day on Pro, about once an hour on Free),
  • a storage check when a Free account writes near its cap, which sends the size of your local store in bytes, never its contents, and
  • a usage heartbeat carrying your account identifier, an operation count and the plugin version. You can switch the heartbeat off with the environment variable SIBYL_MEMORY_TELEMETRY=0.

None of these calls carries memory content. Memory operations make no network calls beyond the ones listed above, and no memory content is sent in any of them.

Two things follow, and both are your responsibility:

  • Backups are yours. If your computer is lost, wiped or damaged, your memory store goes with it. We cannot restore it, because we never had a copy.
  • Exports are yours. You can open, copy and back up the local database at any time.

Plans and limits

There is one paid plan, Pro. The limits below are the ones in force today. They may change with notice under section 18; a change never deletes anything you have stored.

CurrentlyFreePro
PriceNo charge$12 a month, or $108 a year, plus applicable tax
Local memory storeCapped at 5 MB (5,242,880 bytes, the figure the plugin enforces)No cap
Computers signed in1Up to 10

Prices are stated before tax. Sales tax, VAT or GST is added at checkout where it applies, based on your billing address, and is shown before you pay. The merchant of record for card payments is Stripe (Link), which collects and remits that tax.

Pro can also come from staking $SIBYL (section 9) or from a grant (section 10).

When an account returns to Free, nothing stored is deleted. The Free cap applies to new writes again, and the Pro only features switch off.

Paying by card

Card payments are handled by Stripe. We never see or store your card number.

What renews, how often, and at what price

Pro by card is a subscription. It renews automatically at the end of each period, until you cancel:

  • Monthly plan: $12 plus applicable tax is charged today, then the same every month.
  • Annual plan: $108 plus applicable tax is charged today, then the same every year.

Pro starts as soon as the payment goes through.

Your currency

Prices are set in US dollars. Stripe may show and charge the price in your local currency at its own exchange rate. The exact amount is shown on the Stripe payment page and can change at each renewal. You can also pay in US dollars there.

Confirmation

When Pro starts we send a "Pro started" email with the plan, the price, the next renewal date and how to cancel. Your card receipt comes separately from Stripe.

How to cancel

Cancel any time from the Billing page of your account at account.sibyllabs.org, which opens the Stripe customer portal. Cancelling is self-serve and takes no more steps than signing up. Cancelling stops the next renewal. Pro stays on until the end of the period you already paid for. Nothing you have stored is deleted.

If a renewal payment fails

Stripe retries the payment. If it still fails, the subscription ends and the account returns to Free at the end of the paid period. We will email you before that happens.

One live plan per account

Checkout refuses a second live plan on an account that already has one. If an error on our side charges you twice for the same period anyway, we correct it: the duplicate charge is refunded.

All sales are final

This is the sentence you agree to at checkout, and it is the whole policy:

All sales are final: cancelling stops the next renewal, and payments already made are not refunded.

  • Cancelling stops the next renewal.
  • Pro stays on until the end of the period you paid for.
  • Payments already made are not refunded, except where the law says otherwise.
  • A duplicate charge caused by an error on our side is corrected (section 6). That is a correction, not a refund policy.

Not sure yet? Start on Free first. It costs nothing, needs no card, and the Pro features switch on in place when you upgrade.

Opening a dispute with your bank instead of writing to us ends your access at once and is slower for both of us. Write to us first.

Paying in USDC

You can also pay in USDC on Base from the command line tool with sibyl upgrade. The price is the card list price, $12 for 30 days or $108 for 365 days, and no tax is added to a USDC payment. A wallet must be connected to the account.

  • A USDC payment buys one fixed period, 30 days or 365 days. It does not renew. When the period ends the account returns to Free unless you buy another period.
  • Payments on a public blockchain are final. We cannot reverse them. All sales are final applies here too.
  • Transactions on Base are public. The paying wallet address and the transaction are visible to anyone.
  • If you delete your account while USDC time is still running, that remaining time is forfeited.

Pro through staking $SIBYL

This benefit is for stakers only. If a wallet connected to your account holds 100,000 $SIBYL or more staked in the $SIBYL staking contract, your account qualifies for Pro at no charge for as long as the stake stays at or above that line.

  • Only the balance staked in the staking contract counts. Holding $SIBYL in a wallet without staking it does not qualify.
  • Pro switches on within the hour, or at once when you run sibyl refresh.
  • If your staked balance falls below the threshold, Pro continues for a 7 day grace period. After that the account returns to Free. Staking back above the threshold within the grace period keeps Pro on.
  • The threshold and the grace period are the ones in force today. We may change or withdraw the staking benefit with notice under section 18.

The staking benefit is a product feature. It is not an investment, a security, a yield, or a promise of any return. We do not promise that the benefit will continue, that the threshold will stay the same, or that the token will have any value. The value of a token can fall to zero. Nothing in these terms is financial, investment, legal or tax advice.

Token and on-chain risk

If you choose to hold or stake $SIBYL, or to pay in USDC, you do so at your own risk. In plain terms:

  • The price of a token can change quickly and can fall to zero. We make no promise about the value of $SIBYL or any other token, and nothing we publish is a reason to buy, hold, stake or sell one.
  • Transactions on a public blockchain are final. A payment or a transfer sent in error cannot be reversed by us.
  • The staking contract is software on a public blockchain. Software can contain errors, be attacked or become unavailable, and staked tokens could be delayed, locked or lost. We do not hold your tokens and cannot recover them.
  • Staking earns the Pro benefit while the threshold is met, and nothing else from us: no interest, no yield, no revenue share and no return of any kind.
  • You are responsible for the wallet you connect, its keys, the network fees you pay and any tax that applies to you.
  • Digital assets are regulated differently from place to place. You are responsible for making sure that holding, staking or paying with them is allowed where you live.

Grants

We sometimes give Pro at no charge for a fixed period. A grant lasts only for the stated period, can be ended by us at any time, is not transferable, and is replaced by a paid purchase on the same account. When a grant ends, the account returns to Free. Nothing stored is deleted.

If you are a consumer in the EU or the UK

Pro is a digital service that starts immediately. By paying, you ask us to start Pro right away, and you acknowledge that you lose the 14 day right of withdrawal once Pro has started.

That sentence is shown at checkout next to the box you tick to agree to these terms, and it is repeated in the "Pro started" email. If the law where you live gives you a right that these terms cannot take away, that right stands, and the "all sales are final" rule in section 7 gives way to it.

Acceptable use

You agree not to:

  • share, resell or rent your account, or let others use your plan,
  • work around plan limits, computer limits, sign-in checks or usage metering, or tamper with the plugin so that it misreports them,
  • attack, overload or probe the API or the Service, or try to reach parts of it you are not entitled to,
  • use the Service to break the law or to infringe anyone's rights,
  • scrape, resell or redistribute the hosted Service as your own product.

We may suspend or close an account that breaks these rules. Where we can, we will tell you first and give you a chance to fix the problem. An account under review for tampering with plan limits cannot be deleted until the review ends.

Supported platforms

The plugin runs on Linux and macOS, and on Windows through WSL2. Native Windows is not supported. We may add or drop platform support over time.

Open source

The memory engine, the client, the command line tool and the adapters are published under the MIT license at github.com/Sibyl-Labs. Read it before you run it.

The MIT license governs that code. These terms govern the hosted Service, your account and your plan. If the two conflict about the code itself, the MIT license wins for the code.

Our rights and yours

We keep all rights in the Service, the hosted components, our name, our logo and our content, except for what the MIT license grants and except for your own material.

Your memory content is yours. We never receive it, so we claim nothing in it.

If you send us feedback or suggestions, we may use them without obligation to you and without payment.

Closing your account

Cancel billing first, then delete. The account area will not delete an account with an active card subscription. Cancel the subscription first (section 6). Pro then runs to the end of the period you already paid for, and you can delete the account at any time once billing is cancelled.

The account area confirms a deletion with the wallet on the account. If your account has no wallet, write to us from the account's email address and we will delete it for you.

When you delete an account:

  • every computer signed in to it is signed out,
  • the memory files on your computers are left untouched,
  • any plan time paid in USDC ends and is not refunded,
  • your email address and wallet address stay reserved to you for 30 days, so a mistaken delete can be undone by contacting support within that time,
  • after that, the account record and the logs tied to it stay in our database, marked deleted, until our purge removes the identity fields and releases the email and wallet. The Privacy Policy, section 15, says exactly what is kept, what the purge removes and where it stands today.

Deleting your account does not delete your memory store, because that store is on your own computer and under your control.

We may close or suspend an account for a serious or repeated breach of section 12, for non payment, or where the law requires it.

Availability, warranties and liability

We may change, add to or withdraw features. We will give notice of material changes under section 18. There is no service level commitment on any plan.

The Service is provided "as is" and "as available", to the fullest extent the law allows. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non infringement.

Because your memory content lives only on your computer, we are not responsible for its loss. Keep your own backups.

Limitation of liability

To the fullest extent the law allows:

  • We are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost business, however caused, even if we were told they were possible.
  • Our total liability to you for all claims arising out of or relating to the Service or these terms is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim and (b) 100 US dollars.

These limits apply together, to every kind of claim (contract, tort including negligence, statute or otherwise), and to Sibyl Labs and its members, managers, employees and contractors.

Indemnity

If you use the Service for a business, you will defend and indemnify Sibyl Labs and its members, managers, employees and contractors against third party claims, and the reasonable costs of them including legal fees, that arise from your use of the Service in breach of these terms or of the law, or from material you provide. We will tell you promptly about any such claim and let you control the defense, as long as you do not settle it in a way that admits fault on our part or imposes obligations on us without our written consent. If you are a consumer, this indemnity applies only to the extent the law where you live allows.

Nothing in these terms limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.

Changes to these terms

We may update these terms. When we make a material change, we will post the new version here with a new version number and effective date, and tell account holders by email at least 30 days before it takes effect.

If you keep using the Service after a change takes effect, the new terms apply to you. If you do not accept a change, you can close your account before it takes effect.

A price increase never applies to a period you have already paid for. We will tell you by email at least 30 days before the first renewal at the new price, and where the law requires it we will ask you to agree to the new price before it is charged. If you do not want to pay the new price, cancel before that renewal.

Governing law and disputes

These terms, and any dispute arising out of them or out of the Service, are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. If you are a consumer, you keep every protection that the mandatory consumer law of the place where you live gives you, and nothing in this section takes it away.

Talk to us first

Before starting a legal claim, write to us at [email protected] with a description of the problem and what you would like us to do. We will reply within 30 days and try to resolve it informally. Neither of us may start a claim until 30 days after that notice was sent, except a small claims action, or an action to protect intellectual property or to stop unauthorized use of the Service.

Courts

If informal resolution fails, a claim that is not a consumer claim must be brought in the state or federal courts located in Delaware, and both of us accept the personal jurisdiction of those courts. A consumer may bring a claim in the courts of the place where they live, and we may bring a claim against a consumer only there. A claim must be started within one year after it arose, except where the law does not allow that limit.

These terms do not require arbitration and do not waive class actions. If we ever add such a provision, it will come with notice under section 18 and a way to opt out.
